DGR - Price-sensitive ASX Announcement
Full Release
Key Points
- The Takeovers Panel issued a declaration of unacceptable circumstances in relation to DGR Global Limited on 28 September 2026.
- DGR is an ASX-listed company and Nicholas Mather was its Managing Director.
- Samuel Holdings and Tenstar were substantial shareholders in DGR.
- Paul Simpson managed Tenstar’s investments and had power over acquisition, disposal and voting of securities held by Tenstar.
- The Panel noted a long-standing relationship between Mr Mather and Mr Simpson and a history of common investments and dealings between Samuel Holdings and Tenstar.
- After DGR received net proceeds of about $45 million from the SolGold sale, with a further approximately $23 million expected, the board was assessing use of the funds.
- Shareholders holding 8.78% of DGR, referred to as the May Vendors, were dissatisfied with DGR’s proposed use of the sale proceeds and threatened to requisition a meeting and investigate Tenstar’s ownership if not bought out.
- Mr Mather, assisted by two other DGR directors, arranged for Samuel Holdings, Tenstar and Benn Whistler to acquire the May Vendors’ shares and options.
- On or about 11 May 2026, Samuel Holdings acquired about 3.65% of DGR, Tenstar about 3.00%, and Mr Whistler about 2.13%, together with options.
- The acquisition price represented a premium of approximately 52% to DGR’s last closing share price, excluding an additional commitment offered by Samuel Holdings.
- Samuel Holdings funded Mr Whistler’s participation through an unsecured loan and agreed to make an offer for his shares six months later, with the loan being interest-free if the offer was accepted.
- The Panel found that Samuel Holdings acquired a relevant interest in the shares bought by Mr Whistler through the funding and offer arrangements.
- The Panel found that the Mather Parties and Simpson Parties became associates between 23 April 2026 and 11 May 2026 under sections 12(2)(b) and/or 12(2)(c).
- As a result of that association, aggregate voting power in DGR was found to be 36.65% by no later than 11 May 2026.
- The May Acquisitions increased the associated parties’ aggregate voting power to 43.30%.
- The funding and offer arrangements with Mr Whistler further increased aggregate voting power to 45.43%.
- The Panel found contraventions of section 606 by Samuel Holdings and Tenstar through the May Acquisitions.
- The Panel also found a contravention of section 606 by Samuel Holdings through the Irrevocable Offer Deed with Mr Whistler.
- Samuel Holdings and Tenstar lodged substantial holder notices that were inaccurate, incomplete and not lodged within the required time.
- Tenstar’s response to DGR’s tracing notice stated there were no other persons with a relevant interest apart from Tenstar and Mr Simpson, which the Panel found contravened section 672B.
- Alternatively to association, the Panel considered that Mr Mather had substantial influence over Tenstar and that his actions gave rise to an otherwise unacceptable control effect in DGR.
- The Panel concluded that the acquisition of control or a substantial interest in DGR did not occur in an efficient, competitive and informed market.
- The Panel also concluded that DGR shareholders and the market were not properly informed about the ownership and control of Tenstar and its links to Mr Mather.
- The Panel found that DGR shareholders did not all have a reasonable and equal opportunity to participate in the benefits of the May Acquisitions.
- The Panel was still considering whether to make final orders at the time of the release.
